These Terms and Conditions (the “Terms”) govern your use of https://www.deanandgrey.care (the “Site”) and your participation in any communications program operated by Dean and Grey Care Services Inc (“Dean and Grey Care,” “we,” “us,” or “our”), including our SMS / text-message program. By using the Site or providing your phone number to receive text messages from us, you agree to these Terms. If you do not agree, please do not use the Site or our SMS program.

About us and our services

Dean and Grey Care Services Inc is a California corporation operating two Residential Care Facilities for the Elderly (RCFEs) licensed by the California Department of Social Services:

• Dean Estate — 5214 North Avenue, Carmichael, CA 95608 (License #345002929)
• Grey Manor — 5216 North Avenue, Carmichael, CA 95608 (License #345002933)

We provide six-bed residential care, including assistance with daily living, meals, housekeeping, laundry, and coordination with outside physicians, home-health, and hospice providers. We are a non-medical RCFE; clinical services are delivered by licensed third-party providers under appropriate authorization.

Not medical, legal, or financial advice

Information on the Site is provided for general informational purposes only. It is not, and should not be relied on as, medical, legal, or financial advice. Decisions about a person’s care should be made in consultation with qualified professionals and, where appropriate, with our team during an in-person tour or consultation.

Acceptable use

You agree not to:

• Use the Site for any unlawful purpose;
• Submit false information through our contact form or impersonate another person;
• Attempt to interfere with or disrupt the Site, its servers, or its security;
• Scrape, harvest, or systematically extract data from the Site;
• Send unsolicited marketing or spam through any of our contact channels, including SMS replies.

Intellectual property

All content on the Site — including text, photographs, graphics, logos, and arrangement — is the property of Dean and Grey Care Services Inc or its licensors and is protected by copyright and other laws. You may view and link to the Site for personal, non-commercial purposes. Any other use, including reproduction or commercial use, requires our written permission.

Communications

When you contact us, you authorize us to respond by phone, email, or — if you have provided consent — SMS text message. See our Privacy Policy for details on how we handle your information.

SMS Terms of Service

Program description

Dean and Grey Care operates an SMS program through Twilio under the A2P 10DLC Low Volume Mixed use case. The program serves two audiences: (1) family members and authorized representatives of residents, and (2) employees of Dean and Grey Care Services Inc.

Message types

• Appointment and care reminders for families and authorized representatives.
• Celebration and activity notifications about residents’ lives in our homes.
• Timesheet confirmations and shift coordination for employees.

Message frequency

Frequency varies. Recipients typically receive a few messages per week, though volume depends on the recipient’s role (family member or employee) and on what is happening at the home.

Opt-in

We obtain SMS consent through one of three methods, all logged and retained:

• Signed paper intake / consent form completed during onboarding, with a dedicated SMS-consent checkbox.
• Written request sent by email or direct message asking to be added to the program.
• Verbal consent given in person or by phone, logged internally with the date and the staff member who received it.

Opt-out (STOP) and help (HELP)

• Reply STOP to any message from us at any time to opt out. You will receive one confirmation message and no further messages from the program. You may also opt out at any time by contacting us using the information below.

Message and data rates

Message and data rates may apply. Standard messaging rates from your wireless carrier apply to messages you send to and receive from us. Check with your carrier for details on your specific plan.

Carrier liability

Carriers are not liable for delayed or undelivered messages. Delivery is not guaranteed and may be affected by factors outside our and your carrier’s control.

Supported carriers

Our program supports messages on major U.S. carriers, including AT&T, T-Mobile, Verizon, and others.

Privacy of mobile information

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Information sharing to subcontractors in support services, such as customer service, is permitted. All other categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.

Third-party links

The Site may include links to third-party sites (such as map services or California licensing pages). We do not control those sites and are not responsible for their content, privacy practices, or availability.

Disclaimers

The Site and our SMS program are provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site or the SMS program will be uninterrupted, error-free, or secure.

Limitation of liability

To the maximum extent permitted by law, Dean and Grey Care Services Inc and its owners, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, or profits, arising out of or relating to your use of the Site or our SMS program, even if we have been advised of the possibility of such damages. Nothing in these Terms limits any liability that cannot lawfully be limited.

Indemnification

You agree to indemnify, defend, and hold harmless Dean and Grey Care Services Inc and its owners, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Site or our SMS program, (b) your violation of these Terms, or (c) your violation of any law or the rights of a third party, except to the extent caused by our negligence or willful misconduct.

Governing law and venue

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms, the Site, or our SMS program shall be resolved exclusively in the state or federal courts located in Sacramento County, California, and you consent to the personal jurisdiction of those courts.

Dispute resolution

Before initiating any formal legal proceeding, you agree to first contact us in writing at info@deanandgrey.care with a description of the dispute and to give us a reasonable opportunity (at least thirty (30) days) to resolve it informally. If informal resolution is not successful, any dispute shall be resolved in the courts identified above.

Changes

We may update these Terms from time to time. The “Effective date” above reflects the most recent version. Continued use of the Site or the SMS program after changes are posted constitutes acceptance of the updated Terms.

Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
